1. VETERAN SECURITY is an independent contractor and neither VETERAN SECURITY nor its officers, agents, or employees are in law or in fact employees of Subscriber. VETERAN SECURITY assumes full responsibility for Workmen's Compensation, State Unemployment Tax, Medicare Tax, Social Security and Withholding Tax Deductions, and other similar taxes and deductions required to be paid or withheld by an employer.

2. VETERAN SECURITY acknowledges that it has a comprehensive program of insurance covering its liability for personal injury (including bodily injury, false arrest, libel, slander, and similar torts) and property damage with substantial limits of coverage and Workmen's Compensation as required by statute. VETERAN SECURITY also carries an employee fidelity bond.

3. All invoices presented to the Subscriber for services performed shall be due for payment upon receipt. Subscriber shall pay VETERAN SECURITY an amount equal to one (1%) percent per month on all amounts outstanding which are not paid when due hereunder, but in no event shall such amount exceed the maximum allowed pursuant to applicable law. If VETERAN SECURITY engages the services of an attorney in the collection of monies due hereunder, the payment of reasonable attorney's fees attributable thereto shall become an obligation of Subscriber to VETERAN SECURITY to the extent permitted by law.

4. The schedule of guard assignments, patrol inspection, and other services in the Scope of Service may be changed from time to time only upon the oral or written instructions of the Subscriber, or one of Subscriber's authorized personal, provided, however, that such change shall not become effective until VETERAN SECURITY has sent a written confirmation of the change to the Subscriber.

5. VETERAN SECURITY provides the following types of patrol services:

           A. DRIVE-IN PATROL:
A VETERAN SECURITY patrolman will enter Subscriber's driveway and will while in his patrol car visually check the premises twice each night for signs of forced entry.

          B. EXTENDED DRIVE-IN PATROL:
VETERAN SECURITY will provide the same service as outlined in Paragraph number 5A and, in addition, will also have its patrolman visually check the premises, while in his patrol car, for forced entry once during the                day if the Subscriber is away from the premises and has               so notified VETERAN SECURITY in writing.

          C. WALK AROUND PATROL:
A VETERAN SECURITY patrolman will walk around the Subscriber's premises and visually check the premises twice each night for signs of forced entry.

          D. EXTENDED WALK AROUND PATROL:
VETERAN SECURITY will provide the same service as outlined in Paragraph number 5A and, in addition, will also have its patrolman walk around the premises and visually check the premises for forced entry once during                the day if the Subscriber is away from the premises and                has so notified VETERAN SECURITY in writing.

           E. ADDITIONAL PATROL SERVICES:
If the Subscriber wants VETERAN SECURITY to have its patrolman perform additional services at its premises other than those hereinabove specified, then VETERAN SECURITY and the Subscriber must mutually agree to                such additional services which shall be set forth in               special written instructions to be annexed to and made                a part of this Agreement. Subscriber shall pay such               additional services in accordance with VETERAN               SECURITY'S charges for the same.

6. VETERAN SECURITY also provides both uniformed and plain clothes guards for the protection of Subscriber's premises. The specific functions to be performed by such guards shall be set forth in special written instructions to be annexed to and made a part of this Agreement.

7. In the event VETERAN SECURITY'S representative finds signs of forced entry at the Subscriber's premises, VETERAN SECURITY agrees to notify the municipal police department of such condition if after investigation by VETERAN SECURITY, VETERAN SECURITY determines in its sole judgement that such notification of the municipal police department would be appropriate. If additional services are to be provided pursuant to special written instructions, VETERAN SECURITY will also notify any other persons, municipal authorities, or organizations as therein of signs of a forced entry or of any other condition(s)which VETERAN SECURITY is to visually check for in accordance with the special written instructions. It is mutually understood and agreed that the personnel of such municipal police departments, or other such persons, response of such police departments, other persons, municipal authorities, or organizations that may be notified, are not the agents of VETERAN SECURITY nor does VETERAN SECURITY assume any responsibility for the response of such police departments, other persons, municipal authorities, or organizations. It being further provided that VETERAN SECURITY has been provided with a key to the premises, VETERAN SECURITY'S representative will enter the premises without authorization, to hold every such person until released by Subscriber or Subscriber's agent designated for this purpose; in all such cases, the Subscriber agrees to indemnify and hold VETERAN SECURITY and its employees or agents harmless against all liability, costs, damages, or expenses in connection with or as a result of such arrest or detention. Subscriber agrees to furnish VETERAN SECURITY a list of users and individual signatures of all persons who are authorized to be in and about the premises and authorized to release persons arrested or detained by VETERAN SECURITY employees or agents.

8. VETERAN SECURITY shall not be liable for interruptions of service caused by strikes, riots, floods, acts of God, or any other event beyond the control of VETERAN SECURITY. VETERAN SECURITY shall not be required to furnish service to the Subscriber while such interruptions shall continue.

9. This Agreement is not assignable by Subscriber except upon prior written consent of VETERAN SECURITY.

10. This Agreement is not binding unless approved in writing by an Authorized Representative of VETERAN SECURITY. If such approval is not obtained, the only liability of VETERAN SECURITY shall be to Subscriber the amount, if any, paid to VETERAN SECURITY upon the signing of this Agreement by its Sales Representative.

11. This writing (together with any individually signed separate service agreements and riders amending the Agreement) is intended by the parties as the final expression of their agreement with respect to the subject matter contained herein and also as the complete and exclusive statement of the terms of such Agreement, not withstanding any prior, or conflict with its terms. This Agreement may only be amended in a writing signed by both parties.
